Canadians can open a business in Mexico, but they must navigate local legal and regulatory requirements. The first step is deciding on a business structure, with the most common being a corporation (Sociedad Anónima or S.A.) or a limited liability company (Sociedad de Responsabilidad Limitada or S. de R.L.). Foreigners are generally allowed to own 100% of a Mexican company, except in restricted sectors. You’ll also need a permit from Mexico’s Ministry of Foreign Affairs to use your company name and confirm foreign ownership eligibility.

Next, you must formally incorporate the business through a Mexican notary public, who plays a central legal role. Incorporation requires drafting the company’s bylaws, identifying shareholders, and registering the company with the Public Registry of Commerce. You’ll also need to obtain a tax identification number (RFC) from Mexico’s tax authority (SAT), which is essential for all financial and legal operations.

Opening a Mexican business bank account is another key step, and it often requires in-person verification. Depending on the type of business, you may need additional permits or licenses at the federal, state, or municipal level. Hiring a local lawyer and accountant is strongly recommended to ensure compliance with labor laws, tax obligations, and reporting requirements.

Finally, Canadians should consider immigration status. While you can own a business as a foreigner, you may need a temporary or permanent resident visa with work authorization if you plan to actively manage operations in Mexico.

Given the complexity of Mexico’s legal and regulatory landscape, working with an experienced Mexican lawyer can make the process far more efficient and secure. Professional guidance helps you avoid costly mistakes, streamline incorporation, and ensure full compliance from day one—positioning your business for a smooth and successful launch in the Mexican market.
